Terms of Service

1. Acceptance of Terms

By accessing or using Aphelion ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software. JRNLD Inc. ("we," "us," or "our") reserves the right to modify these Terms at any time.

2. License Grant

2.1 Free Tier

We grant you a limited, non-exclusive, non-transferable license to use Aphelion for generating up to 1,000 rows per table for development and testing purposes.

2.2 Pro Tier

Upon payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use Aphelion with unlimited row generation, subject to these Terms and your subscription status.

2.3 Restrictions

• You may not reverse engineer, decompile, or disassemble the Software
• You may not redistribute, sell, or sublicense the Software
• You may not remove or modify any proprietary notices
• You may not use the Software for illegal purposes
• You may not share license keys with unauthorized users

3. Payment and Billing

3.1 Fees

Pro tier subscriptions are billed monthly at $49/month. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

3.2 Payment Processing

Payments are processed securely through Stripe. You authorize us to charge your payment method for all fees incurred.

3.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial months.

4. Data and Privacy

4.1 Generated Data

All synthetic data generated by Aphelion is created locally on your systems. We do not collect, store, or have access to any generated data. You retain all rights to data you generate.

4.2 Usage Data

We collect anonymized usage statistics (features used, generation counts) to improve the Software. See our Privacy Policy for details.

5. Acceptable Use

You agree not to:

• Use the Software to generate data for illegal purposes
• Attempt to circumvent license validation or usage limits
• Use the Software to harm, harass, or defraud others
• Interfere with or disrupt the Software or our servers
• Use the Software in violation of export control laws

6. Intellectual Property

The Software, including all code, documentation, and related materials, is the proprietary property of JRNLD Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights to the Software.

7. Warranties and Disclaimers

7.1 AS-IS Basis

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 No Guarantee

We do not guarantee that the Software will be error-free, uninterrupted, or meet your specific requirements. Generated data quality depends on your schema and configuration.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JRNLD INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Software
• Any unauthorized access to or use of our servers
• Any bugs, viruses, or other harmful code
• Any errors or omissions in generated data

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless JRNLD Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Software or violation of these Terms.

10. Termination

We may terminate or suspend your access to the Software immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your license to use the Software ceases immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in the United States.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Software. Continued use after changes constitutes acceptance of the modified Terms.
