1. Acceptance of Terms

By downloading, installing, or using the Algomimic CLI tool ("Aphelion"), accessing the website algomimic.com, or purchasing a subscription, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind that entity.

2. The Service

JRNLD Inc. ("Company," "we," "us") provides Aphelion, a synthetic data generation tool (the "Service").

  • Local Execution: You acknowledge that the Aphelion CLI runs locally on your infrastructure. JRNLD Inc. does not host, process, or have access to the database schemas or data you generate, except where explicitly shared by you for support purposes.
  • Compliance Tools: While Aphelion includes templates for HIPAA and PCI-DSS, you are solely responsible for ensuring your use of the generated data complies with all applicable laws and regulations. JRNLD Inc. does not guarantee that data generated by the Service will satisfy any specific legal requirement.

3. License Grants

  • Free License: We grant you a limited, non-exclusive, non-transferable license to use Aphelion for local development and testing purposes, subject to the row limits specified on our website.
  • Pro License: Upon payment of applicable fees, we grant you a license to use Aphelion for commercial purposes, including CI/CD automation, with increased limits as defined in your plan.

4. Restrictions

You agree not to:

  • Reverse engineer, decompile, or disassemble the Aphelion binary.
  • Use the Service to generate data for illegal activities or to mislead third parties.
  • Share "Pro" license keys with unauthorized third parties.

5. Fees and Payment

  • Billing: Paid subscriptions are billed in advance on a recurring basis (e.g., yearly).
  • Refunds: All fees are non-refundable unless otherwise required by law or explicitly stated in our refund policy.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, JRNLD INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE DATA GENERATED WILL BE ERROR-FREE OR SUITABLE FOR PRODUCTION ENVIRONMENTS.

7. Limitation of Liability

IN NO EVENT SHALL JRNLD INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA OR PROFITS, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO JRNLD INC. IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Governing Law

These Terms shall be governed by the laws of the State of Illinois, United States, without regard to its conflict of law provisions.
